Terms & Conditions

These terms and conditions of sales, which will appear on invoices, are the terms and conditions upon which 2RL Communications, LLC makes all sales.

2RL Communications, LLC will not accept any other terms and conditions of sale, unless Client and 2RL Communications, LLC have executed a master contract which specifically supersedes and replaces these terms and conditions. Acceptance of all purchase orders is expressly made conditional upon Client's assent expressed or implied to the terms and conditions set forth herein without modification or addition.
Clients' acceptance of these terms and conditions shall be indicated by i. Client's making of an offer to purchase Product from 2RL Communications, LLC; ii. Client's written acknowledgment hereof; iii. Client's acceptance of any shipment of any part of the items specified for delivery; iv. Any other act or expression of acceptance by Client.

2RL Communications, LLC's acceptance is expressly limited to the terms and conditions hereof in their entirety without addition, modification, or exception. Any term, condition, or proposals hereafter submitted by Client (whether oral or in writing) which is inconsistent with or in addition to the terms and conditions set forth hereon is objected to and is hereby rejected by 2RL Communications, LLC. 2RL Communications, LLC's silence or failure to respond to any such subsequent or different term, condition, or proposal shall not be deemed to be 2RL Communications, LLC's acceptance or approval thereof.

Shipping and Delivery

Due to delays may occur by banks and credit card companies during the billing verification processes, orders PASSED BILLING by 2 pm EST will usually be shipped within 48 business hours if in stock, subject to product availability and verification of billing. Client will be notified by email if there is any problem processing the order. Unless otherwise agreed in writing, delivery shall be made in accordance with 2RL Communications, LLC's shipping policy in effect on the date of shipment. Unless otherwise stated on the front of the invoice, title to, and all risk of loss or damage with respect to the Products shall pass to Client upon delivery by 2RL Communications, LLC to the carrier or the sales representative at 2RL Communications, LLC, warehouse or storefront.

Delivery is subject to the payment and documentation provisions set forth herein and to 2RL Communications, LLC's receipt from Client of all necessary information and documentation from Client including all import certificates, exemption and/or resale certificates, licenses, and other documents as may be required from Client for export of the Product. Client shall promptly notify 2RL Communications, LLC, in no event later than five (5) business days after delivery, of any claimed shortages or rejection as to any delivery. Such notice shall be in writing and shall be reasonably detailed, stating the grounds for any such rejection. Failure to give any such notice within such time shall be deemed an acceptance in full of any such delivery. 2RL Communications, LLC shall not be liable for any shipment delays beyond the reasonable control of 2RL Communications, LLC which affect 2RL Communications, LLC, including but not limited to delays caused by unavailability or shortages of Products from 2RL Communications, LLC's suppliers; natural disasters, acts of war; acts or omissions of Client; fire, strike, riot, or governmental interference; unavailability or shortage of materials, labor, fuel, or power through normal commercial channels at customary and reasonable rates; failure or destruction of plant or equipment arising from any cause whatsoever; or transport failures.

If Client decide to change the shipping address after the sales order has been shipped, Client will be charged a $15 address correction fee. The fee will automatically be charged to Client's account unless the shipping carrier waived the fee.

Price and Payment

Client shall bear all applicable federal, state, municipal and other government taxes (such as sales, use, and similar taxes), as well as import or customs duties, license fees, and similar charges, however designated or levied on the sale of the Products (or the delivery thereof) or measured by the purchase price paid for the products. (2RL Communications, LLC's prices set forth on the front side of the invoice do not include such taxes, fees, and charges.)

Exemption certificates must be presented prior to shipment if they are to be honored. Unless otherwise specified in agreements between 2RL Communications, LLC and Client, payment terms are in advance. 2RL Communications, LLC, at its discretion, may require reasonable advance assurances of payment through irrevocable bank letters of credit or otherwise. All unpaid invoices shall bear interest at an amount equal to 1-1/2% of the outstanding balance per month (or the maximum rate of interest allowed to be contracted for by law, whichever is less), commencing upon the date payment is due. Client's failure to make timely payment may result in such action as commencement of proceedings for collection, revocation of credit, stoppage of shipment, delay or cessation of future deliveries, repossession of unpaid delivered goods, and termination of any one or more sales agreements.

Notwithstanding any "net" payment provisions specified on the invoice, 2RL Communications, LLC shall have no continuing obligation to deliver Products on credit, and any credit approval may be withdrawn by 2RL Communications, LLC at any time and without prior notice. 2RL Communications, LLC retains (and Client grants to 2RL Communications, LLC by submitting a purchase order) a security interest in the Products to secure payment in full and compliance with all sales agreements, and Client agrees to execute any additional documents necessary to perfect such security interest. In the event the sales invoice shall be placed by 2RL Communications, LLC in the hands of an attorney for the purpose of collection, with or without litigation, or for the purpose of enforcing 2RL Communications, LLC's security interest in the Products, the Client agrees to pay any and all costs associated with such placement, including, without limitation, attorney's fees and costs incurred prior to, during, or subsequent to trial, and including, without limitation, collection, bankruptcy, or other creditor's rights proceedings.

If sale is to occur, or the Product is to be shipped, outside the United States, Client acknowledges and agrees that the amount due 2RL Communications, LLC is contracted in U.S. Dollars and that payment in U.S. Dollars is of the essence. Any payment by Client in local currency or the receipt by 2RL Communications, LLC of local currency as a consequence of enforcement procedures against Client will be deemed an authorization for 2RL Communications, LLC to use that local currency to purchase U.S. Dollars or, if such purchase is prohibited by local law, an authorization to purchase appropriate bonds or other instruments and export them from the Client's country in order to convert the currency into U.S. Dollars and apply the proceeds to the payment of any amounts owed to 2RL Communications, LLC by Client. Any deficiency as a result of conversion of payment into U.S. Dollars shall be the responsibility of Client. 2RL Communications, LLC disclaims responsibility for errors in data and for fluctuations in pricing and policies of 2RL Communications, LLC's vendors. As such, 2RL Communications, LLC reserves the right to cancel orders in which such errors and/or fluctuations would cause 2RL Communications, LLC to bear a financial loss. Pricing for some products may be for promotional purposes and may be limited to a particular quantity. Resellers and/ or orders being purchased with the intent to be resold may be excluded from special pricing.

Note: a $20.00 fee will be charged on any returned checks.

Backorder Products

2RL Communications makes every effort to honor the original purchase price for backorder products once the products arrive in stock. However, it is possible for manufacturers/ suppliers to change product prices and/ or for special promotions to end during the time following when a backorder was originally submitted. If the price for a backorder product increases from the time that the product was originally ordered to the time that the product arrives back in stock, 2RL Communications does reserve the right to raise the price of the backorder product for an existing order. Before raising the price of the product, 2RL Communications will contact the customer to explain this change before charging the customer for the product. The customer has the right and choice to either continue with the processing of the order at the updated price, or to cancel the order if not in agreement with the updated price.

Mispriced Product and Incorrect Information

With respect to all products sold at 2RL Communications, LLC, we always try to maintain the accuracy of price and information on all of our available products. However, in the event that there is a typographical error that results in a mispriced product and/or incorrect information, 2RL Communications, LLC reserves the right to disclaim responsibility due to these typographical errors. As such, 2RL Communications, LLC shall have the right to refuse and cancel orders with incorrect prices and/or information. 2RL Communications, LLC will immediately notify customers of this matter if an order is placed with incorrect prices. 2RL Communications, LLC will notify the customer of any cancellation of orders, and if any payment was rendered, it will be returned in the same appropriate manner that the payment was made.

All items sold by 2RL Communications, LLC, Inc. are automatically covered by 2RL Communications, LLC's 30-day Guarantee against defects, except as otherwise specified on an individual basis on the invoice. Defect in this context means manufacturer's defects. We are not responsible for any damages resulting from work done by non-2RL Communications, LLC certified technicians. 2RL Communications LLC does not guarantee compatibility.

2RL Communications, LLC is not responsible for typographic errors and shall have the right to refuse or cancel any orders placed for products listed with incorrect information.

Return of Products purchased hereunder shall be governed by 2RL Communications, LLC's Product Return policies as set forth herein on the date of the invoice, or as otherwise provided by 2RL Communications, LLC to Client in writing. 2RL Communications, LLC reserves the right to modify or eliminate such policies at any time. Although 2RL Communications, LLC's policies may permit Client to return Products claimed to be defective under certain circumstances, 2RL Communications, LLC makes no representation or warranties of any kind with respect to the Products. 2RL Communications, LLC HEREBY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, AS TO THE PRODUCTS, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. 2RL Communications, LLC WILL NOT BE LIABLE FOR ANY DAMAGE, LOSS, COST, OR EXPENSE FOR BREACH OF WARRANTY.

2RL Communications, LLC's 30-Day Guarantee*** against defects shall constitute 2RL Communications, LLC's sole liability and Client's exclusive remedy in connection with any claim of any kind relating to the quality, condition, or performance of any Product, whether such claim is based upon principles of contract, warranty, negligence, or purpose or otherwise. In the event 2RL Communications, LLC issues a return authorization to Client allowing Client to return Product to 2RL Communications, LLC, Client will deliver the Product to 2RL Communications, LLC's address in the United States, if so required by 2RL Communications, LLC, and Client shall bear all applicable federal, state, municipal, and other government taxes (such as sales, use, and similar taxes) as well as import or customs duties, license fees, and similar charges, however designated or levied, on any replacement Product to be shipped by 2RL Communications, LLC to Client. This warranty applies to all products, unless specifically stated otherwise.

All products purchased at 2RL Communications, LLC is covered by 2RL Communications, LLC's 30-Day Against Manufacturer Defects Policy. The 30-Day Against Manufacturing Defects Policy covers factory defects that are caused by the manufacturer during the manufacturing process. The 30-Day Against Manufacturing Defect Policy commences from the original invoice date. Unless specifically stated in a separate policy, all requests to return a product MUST be made through 2RL Communications, LLC's technical and return department. All approved returns must be delivered to 2RL Communications, LLC's location or collection facilities within 30 days of the original invoice date, regardless of delays caused by natural calamities or human error. Any requests to return any product made beyond 30 days of the original invoice date will not be entertained and will have to be made through the product manufacturer, unless states otherwise.

All returns must be accompanied by a valid Return Merchandise Authorization (RMA) number issued by 2RL Communications, LLC's technical and return department. The RMA number is only valid for three (3) days for the date of issuance and the product must be shipped within these three (3) days. All returns MUST contain all of the original packaging intact and in unused condition. Any used or defaced products will void any claims for return. Shipping and Handling charges will not be refunded to customers, except specified on an individual invoice.

When RMA request has been approved, the customer will bear the responsibility for the freight charges and the risk of loss on all return shipments. All return shipments have to be made with carriers that offer tracking ability to help determine the chronological process of the return shipment.

Products that are marked with "Manufacturer Direct Warranty" are directly serviced by the manufacturer and are not covered by 2RL Communications, LLC's 30-Day Against Manufacturing Defects Policy. 2RL Communications, LLC does not claim responsibility for the warranty of these items and is not responsible to authorize any returns. These products are governed by the terms and conditions of the respective manufacturer. Please contact the manufacturer for further details. All approved refund will be the current value or sale price of the returned product at 2RL Communications, LLC, which ever is lower, minus any applicable fee and/or charges.

The following rules apply according to the reason for return:
DO NOT WANT ITEM or ORDERED WRONG ITEM
Unopened box: A 20% restocking fee will be applied. Opened box: On most items, a 20% - 25% restocking fee will be charged, based upon the type of item and its condition.
SUSPECT ITEM IS DEFECTIVE
Defective item: A replacement will be sent to the customer once we receive the defective item. A 20% restocking fee will be charged if a refund is desired instead of a replacement. Non-defective item: Items which are suspected defective but which are found not to be defective by a 2RL Communications, LLC technician will be charged an hourly rate of $39.99, not to exceed 25% of the item's cost. The proven non-defective part will be returned to the customer, who will be charged the above testing fee and return shipping charges.
SHIPPING ERROR
Received Wrong Item or Wrong Quantity: We understand how frustrating it is to receive the wrong item. Please contact us immediately (within 48 hours) via our Customer Service and Return Department Online service, or email us at support@2rlcomm.com. The correct item will be shipped to Client immediately upon our receipt of the incorrect item.
Item Damaged in Transit: If Client receive a shipping carton that shows obvious damage, please refuse the shipment. The shipping carrier is responsible for these damages, not Client. If, upon opening the carton, Client discover that the product was damaged during shipment, contact the carrier for inspection. If Client's order was shipped via UPS and arrives damaged, save the original packing materials and call UPS (1 800 PICK UPS) to report the damage. Then please contact us via our Customer Service and Return Department Online service, or email us at support@2rlcomm.com, and 2RL Communications, LLC will file a claim.

 

EXCEPTIONS of return policy: 

Limitation of Liability

2RL Communications, LLC shall not be liable under any circumstances for any special consequential, incidental, punitive, or exemplary damages arising out of or in any way connected with the agreement to sell product to Client or the product, including, but not limited to, damages for lost profits, loss of use, lost data, or for any damages or sums paid by Client to third parties, even if 2RL Communications, LLC has been advised of possibility of such damages. The foregoing limitation of liability shall apply whether any claim is based upon principles of contract, warranty, negligence or other tort, breach of any statutory duty, principles of indemnity or contribution, the failure of any limited or exclusive remedy to achieve its essential purpose, or otherwise.

Order Cancellation

Cancellation NOT DUE TO BACK ORDER will be subject to 7% or $10, whichever is larger, credit card transaction costs. For cancellation of multiple items orders, the transaction costs will be applied to all non back order items. If items have been sent to warehouse fulfillment, in addition to the credit card transaction costs, S/H will not be refundable.

General

These terms and conditions shall constitute the final, complete, and exclusive agreement of the parties with respect to all sales by 2RL Communications, LLC to Client and shall supersede all prior offers, negotiations, understandings, and agreements. Unless Client and 2RL Communications, LLC have executed a master contract which specifically supersedes and replaces the terms and conditions herein, it is expressly agreed that no prior or contemporaneous agreement or understanding, whether written or oral, shall contradict, modify, supplement, or explain the terms and conditions contained herein. No additional or different terms or conditions, whether material or immaterial, shall become a part of any sales agreement unless expressly accepted in writing by an authorized officer of 2RL Communications, LLC in the United States.

Any waiver by 2RL Communications, LLC of one or more of these terms and conditions or any defaults hereunder shall not constitute a waiver of the remaining terms and conditions or of any future defaults hereunder. No failure or delay by either party in exercising or enforcing any right hereunder shall operate as a waiver thereof or preclude any other exercise or enforcement of rights hereunder. Any provision of these terms and conditions that is prohibited or unenforceable under the laws of the Pennsylvania shall be ineffective to the extent of such prohibition or unenforceability, without impairing or invalidating the remaining provisions of these terms and conditions.

Client agree that the laws of the Commonwealth of Pennsylvania govern this contract and any claim or dispute that Client may have against us, without regard to Pennsylvania's conflict of laws rules, and that the United Nations Convention on Contracts for the International Sale of Goods shall have no applicability. Client further agree that any disputes or claims that Client may have against us will be resolved by a court located in the Commonwealth of Pennsylvania and Client agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action.

PLEASE NOTE THAT BY AGREEING TO THESE TERMS OF USE, CLIENT IS: (1) WAIVING CLAIMS THAT CLIENT MIGHT OTHERWISE HAVE AGAINST US BASED ON THE LAWS OF OTHER JURISDICTIONS, INCLUDING CLIENT'S OWN; (2) IRREVOCABLY CONSENTING TO THE EXCLUSIVE JURISDICTION OF, AND VENUE IN, STATE OR FEDERAL COURTS IN THE COMMONWEALTH OF PENNSYLVANIA OVER ANY DISPUTES OR CLAIMS CLIENT HAVE WITH US; AND (3) SUBMITTING CLIENT TO THE PERSONAL JURISDICTION OF COURTS LOCATED IN CENTRE COUNTY IN THE COMMONWEALTH OF PENNSYLVANIA FOR THE PURPOSE OF RESOLVING ANY SUCH DISPUTES OR CLAIMS.

* RMA = Return Merchandise Authorization
** Shippable manner means that the package is properly packed and double boxed. There should be no indications of movable items when the box is shook. This is to avoid further damage during shipment.
